EPIC Companies Eyes Upper Midwest with Vision REIT

EPIC Companies, a real estate investing and development firm, announced the launch of Vision REIT, a real estate investment trust aimed to invest in real estate projects throughout the upper Midwest, with a concentration on North Dakota and Minnesota.

An investment in Vision REIT involves significant risks, including risk of loss and illiquidity. Vision’s return objectives are based on a number of assumptions which EPIC Management believes are reasonable, but there is no guarantee that the conditions on which such assumptions are based will materialize as anticipated or will be applicable to Vision’s investments or that any return targets or objectives stated herein will be realized. Actual realized returns will depend upon a number of uncertain factors, some of which are set forth herein, including, without limitation, future operating results, the value of the assets and market conditions at the time of disposition, any related transaction costs and the timing and manner of sale, all of which may differ from the assumptions and circumstances on which the EPIC Management’s projections are based. Accordingly, the actual realized returns may vary materially from any stated target return from time to time. The Units and the offer and sale thereof will not be registered under the U.S. Securities Act of 1933, as amended (the “Securities Act”) or the securities laws of any other country or jurisdiction, and the offering and sale of the Units to U.S. eligible investors is being conducted so as to be exempt from registration pursuant to Section 4(a)(2) of the Securities Act and Rule 506 under Regulation D, as promulgated under the Securities Act, as amended (“Regulation D”).

There will be no public market in any jurisdiction for any of the Units. Each prospective investor must be prepared to bear the economic risk of an investment in Vision for an indefinite period, because the Units (i) cannot be transferred or sold unless they are subsequently registered under the Securities Act and applicable state securities laws or an exemption from such registration is available and (ii) are subject to the other restrictions on transfer contained in Visions organizational documents. Vision will not be registered as an investment company under the Investment Company Act of 1940, as amended (the “Investment Company Act”), and Investors will not have the benefit of any protections afforded by the Investment Company Act. Accordingly and importantly, investors must have the financial ability and willingness to accept the risks (including, among other things, the risk of loss of their entire investment and lack of liquidity in the Units) that are characteristic of an investment in Vision and should consult their financial, accounting, regulatory and tax advisors regarding the appropriateness of making an investment in Vision.
